2. Definitions

For the purposes of these Terms, the following words and expressions shall have the meanings defined below:

•User: Any natural or legal person who accesses and/or uses the Website, including Candidates and Client Companies.

•Candidate: Natural person who uses the Website to seek job opportunities, apply for positions, or participate in mentoring programs.

•Client Company: Legal entity that contracts Rely Talents' recruitment and selection services.

•Services: All services offered by Rely Talents through the Website, including, but not limited to, Executive Search, Technology Recruitment, and Career Mentoring.

•Content: All information, data, texts, software, music, sounds, photographs, graphics, videos, messages, or other materials available on the Website.

•LGPD: Brazilian General Data Protection Law (Law No. 13.709/2018).

•Personal Data: Any information related to an identified or identifiable natural person, as defined by LGPD.

3. Object and Services Offered

The Website's main objective is to present Rely Talents' recruitment and selection services, connect Candidates to job opportunities with our Client Companies, and offer career development programs.

The services provided by Rely Talents, detailed on the Website, include:

•For Companies:

•Executive Search: Consultative and confidential process for selecting Top & Middle Management talent.

•Technology Recruitment: Specialized search and selection of technology professionals, conducted by experienced tech hunters.

•For Professionals (Candidates):

•"Your Next Job" Mentoring: Guidance for professionals seeking to excel in the Brazilian job market.

•"Career Abroad" Mentoring: Complete preparation for professionals who wish to work in the global job market.

Rely Talents acts as an intermediary between Candidates and Client Companies, facilitating the recruitment process. The final hiring decision is the exclusive responsibility of the Client Company. Rely Talents does not guarantee the hiring of any Candidate, nor the filling of any position for the Client Company.

Specific details, scope, deadlines, and compensation for each service will be defined in commercial proposals and specific service contracts, signed directly between Rely Talents and the Client Company.

4. Registration and Eligibility

To fully use the Website Services, such as applying for positions or accessing the talent database, Candidates will need to provide personal and professional information, such as name, contact details, resume, and qualifications. By providing such information, the User declares and warrants that:

•All information provided is true, accurate, current, and complete.

•They are legally capable of entering into binding contracts under Brazilian law.

•If a Candidate, they are at least 18 (eighteen) years old or are emancipated.

•If representing a Client Company, they have the authority to bind such entity to these Terms.

The User is solely responsible for the truthfulness and updating of the information provided. Rely Talents reserves the right to verify information and, if it finds any inconsistency, inaccuracy, or falsehood, may suspend or terminate the User's access to the Website and Services, without prejudice to other applicable measures.

Rely Talents is not responsible for any damage or loss arising from the misuse of registration information by third parties.

5. User Obligations

By using the Website and our Services, you agree to:

•Comply with the Law: Use the Website in accordance with Brazilian law, morality, and good customs, as well as these Terms.

•Provide Truthful Information: Keep your registration information always updated and accurate.

•Personal and Non-Commercial Use: Use the Website only for lawful and personal purposes. Commercial, speculative, fraudulent use, or for any illicit activity is prohibited.

By submitting your resume or any other data to our talent database, you grant Rely Talents a free, non-exclusive, worldwide license to use, reproduce, modify, adapt, and publish such information for the sole purpose of facilitating your participation in selection processes and presenting your profile to Client Companies. This license does not imply ownership transfer. You remain the owner of your data and may exercise your rights at any time, according to our Privacy Policy.

7. Limitation of Liability and Warranties

Rely Talents strives to keep the Website secure, accessible, and functional. However, we cannot guarantee the absence of errors, interruptions, or uninterrupted availability of the Website. Access to the Website may be temporarily suspended without prior notice in case of system failure, maintenance, or force majeure events.

To the maximum extent permitted by applicable law, Rely Talents is not responsible for:

•Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access or use or inability to access or use the Website; (ii) any conduct or content of third parties on the Website; (iii) any content obtained from the Website; and (iv) unauthorized access, use, or alteration of your transmissions or content.

•Hiring Decisions: Rely Talents acts as a facilitator in the recruitment process. We have no control over Client Companies' hiring decisions and are not responsible for them. We do not guarantee that participation in a selection process will result in a job offer.

•Information Accuracy: While we strive to ensure information accuracy, we do not guarantee the truthfulness, accuracy, or reliability of any information provided by Candidates or Client Companies.

•Third-Party Links: The Website may contain links to third-party sites that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party sites.

8. Confidentiality and Data Protection

Protecting your personal data is extremely important to Rely Talents. All personal information collected through the Website will be treated in strict compliance with the Brazilian General Data Protection Law (LGPD) and our Privacy Policy.

By using our Services, you agree that Rely Talents may collect, use, store, and share your personal data as described in our Privacy Policy, including sharing Candidate information with Client Companies for recruitment purposes.

9. General Provisions

We recommend that you review the Terms periodically. Continued use of the Website after publication of any changes will constitute your acceptance of the new Terms.

•Severability: If any provision of these Terms is deemed invalid or unenforceable, such provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

•Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Rely Talents' prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Rely Talents may freely assign or transfer these Terms without restrictions.

•No Waiver: Rely Talents' failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

•Communications: All communications and notifications from Rely Talents will be made through the Website or the email registered by the User. All communications from the User to Rely Talents should be made through the email contact@relytalents.com.

10. Applicable Law and Jurisdiction

These Terms shall be governed and interpreted in accordance with the laws of the Federative Republic of Brazil.

The jurisdiction of Florianópolis, State of Santa Catarina, Brazil, is elected to resolve any issues arising from these Terms of Use, excluding any other, however privileged it may be.

For international users and operations, additional local laws may apply depending on your jurisdiction. We recommend consulting with local legal counsel regarding applicable data protection and employment laws in your region.
